The title model
3PL add-on For: Administrator, Compliance manager, Warehouse staff Checked on 18.0.0.2.0, 18.0.1.0.0
Title means ownership. In the title model, your company buys units it already holds for an owner, and ownership changes while the goods stay on the same shelf. The software records that change as a title transfer: the chosen serials change owner, both sides get their DSCSA document, and from then on the units follow the rules of their new owner.
What it is
A title transfer changes the owner of chosen serials in place: nothing is picked, packed or shipped. Its Kind says who sells and who buys:
| Kind | Seller | Buyer | In business terms |
|---|---|---|---|
| Owner to us | the owner | your company | you buy an owner's units to sell them as your own |
| Us to owner (reversion) | your company | the owner | the owner buys units back from you |
| Owner to owner | one owner | another owner | two of your 3PL clients trade; you are not a party |
Its Trigger says how it started:
- Block: made by hand, usually from a title purchase order (a purchase order to the owner with Title Transfer in Place selected): you select the serials, select Check, and an Rx Tracking Manager selects Validate. See Buy an owner's units in place.
- Just in time: made by your own delivery. For an owner you buy from just in time, your sale may take its units after your own, and the software buys exactly the units the delivery picks, with a purchase order to the owner, when the delivery becomes Done. See Buy an owner's units just in time.
Consignment uses the same mechanism: a consignor is an owner whose goods you take in without buying them and sell as your own stock, each unit bought from the consignor when it ships. See Take in and sell consignment stock.
Title transfers are listed in Inventory ‣ Rx Tracking ‣ Title Transfers (in the 3PL ‣ Operations section).
What changes, and what doesn't
What changes: the owner of each chosen serial, on the package (Held for Owner) and on Odoo's stock. Behind the scenes the software validates two stock transfers through the company's title location, out of the seller's stock and back to the same shelf in the buyer's stock; the title location is always empty afterwards. The package ledger records a title change, not a delivery or a receipt, so the units stay In Stock.
What doesn't change: where the units are, their lot, serial and expiry, and the package history before the transfer.
What is checked first (by Check, and again by Validate):
- the owner's profile allows it (Title Transfers Allowed for a sale to you);
- the seller and the buyer are authorized trading partners, and your facility has the license the kind needs (a wholesale license when you buy or sell back);
- every unit is held for the seller, in stock, sellable, not on hold, and on no open operation;
- the owner's transaction information and statement are on file: its transfer file, or you issue its side in issuing mode B;
- the owner's Title transfer instruction, when its profile requires instructions.
The full rules and messages are in Title transfer rules.
What documents are posted
Each done transfer posts two in-place documents at the moment ownership changes, both without a ship date: the seller's side and the buyer's side.
| Kind | Seller's side | Buyer's side |
|---|---|---|
| Owner to us | the owner's outbound document, issued by you as its agent in mode B; in mode A, the owner's own transfer file | your inbound document, DSCSA/IN/YYYY/NNNNN |
| Us to owner (reversion) | your outbound document, DSCSA/OUT/YYYY/NNNNN | the owner's inbound record, DSCSA/CODE/IN/YYYY/NNNNN |
| Owner to owner | the seller's outbound document, issued by you in mode B; in mode A, its own file | the buyer's inbound record |
Where a shipped document prints its ship date, the T3 of an in-place document prints "Transfer of ownership in place, no shipment". See Find and read the in-place documents of a title transfer and DSCSA documents.
After the transfer
- Units you bought are your own stock. You sell and ship them like any other units, under your own documents, Transaction Statement and trading-partner gates; your outbound document's history includes the transfer hop. See Sell units bought in place as our own stock.
- Accounting follows the purchase order. The units enter your stock valuation at the transfer price, and the vendor bill comes from the title purchase order; an owner's stock is never valued. DSCSA ownership comes only from the recorded transfer, never from the accounting. See Account for a title transfer.
- A done transfer can't be changed, cancelled or deleted. To undo it, record the opposite sale (for a sale to you, a reversion). Before Validate, a transfer can be cancelled. See Cancel or correct a title transfer or a title purchase order.
- Nothing else changes an owner. Changing the owner of DSCSA units directly, or moving them into or out of the title location any other way, is refused. See Why title pickings, the title location and unit owners can't be changed by hand.
Why it exists
Background: the modules follow the reading that a company's role is decided per unit and per moment, that taking title to an owner's units makes you a wholesale distributor for those units, which needs a wholesale license, and that a transfer from the owner to you in place is a transaction with no shipment, for which the owner's transaction information and statement are due before or at the transfer (FD&C Act § 581(6), (22), (24), (26), (27); § 582(a)(1), (a)(7); § 584(d); see Compliance background). You issue your own documents when you resell. The add-on supports block and just-in-time transfers, reversions, sales between owners and consignment (FD&C Act § 581(6), (22), (24), (26), (27); § 582(a)(1), (a)(7); § 584(d); see Compliance background). The T3 of an in-place transfer leaves out the ship date and prints the "in place" wording. This is how the modules read the law; it has not been reviewed by counsel. See the disclaimer.
Your procedure decides which owners you buy from, at what price and with whose approval; the software requires the owner's profile setting, the owner's instruction when its policy asks for one, and an Rx Tracking Manager to validate.
